摘要:	隨著企業規模發展迅速、資訊日益透明化、法令規範的約束與訴訟案件的增加，企業的董監事與重要職員在執行職務上發生疏失與怠忽若未能有分散風險的工具，將可能導致董監事與重要職員個人或公司財務上的衝擊，此為董監事責任保險單發展之始。本研究先就董監事及重要職員現行法律責任風險明確化，並將現行董監事責任保險保單承保範圍加以釐清，進而將法律責任與董監事責任保險保單相結合，並分析此保單需求背景與針對目前市場需求面做出分析。另外並參酌美、英、日當地保單的主要承保範圍與除外不保事項，比較出與我國現行保單不同與相同之處。最後就現行之市場做出結論與具體建議，期能提供給企業主或保險公司未來規劃或設計保單之建議。 Cause the rapid development of Industry, information increasingly transparent, the legal compliance constrains on the company''s activities and the claim increasing in the market. If there is no useful tool to cover the risk when the Directors & Officers by reason of a Wrongful Act, it may impact the Financial Loss of the Director, Officer or the Company. This is the beginning of the development the D&O Liability Insurance. The studying reviews the risk of legal liability of the Directors and Officers to clarify the current D&O Liability insurance Policy Coverage. Furthermore, combine the Legal Compliance and the current policy, analyzing the demand background also the market demand in this policy. Otherwise, refer the U.S.A.、U.K. and Japan standard local policies, point the major Exclusions、Coverage and compare the difference with Taiwan. Finally, make the conclusions and suggestions and hope to recommend for arranging or designing the policy to Business Owners also the Insurers.
