    Abstract: 自1998年台灣本土企業接連爆發財務危機事件後，究竟在財務危機發生前是否已有跡可循，而可防患未然，已成爲眾所關切的問題。本研究旨在探討企業借殼上市與則務危機之關聯性，藉由釐清漢陽集團如何入主國揚建設、如何運用交叉持股及財務槓桿炒作股價，並透過對相關財務資料之檢視，以剖析借殼上市公司則務危機發生原因與影響，期能對企業財務危機預警有進一步之瞭解。
