Abstract:	論文提要內容：隨著中國經濟的快速發展，世界各國開始將目光投向中國市場。在2005年，中國已經躍居為全世界第四大的經濟體，但是由於中國經濟開放的時間仍然短暫，造成中國創投市場仍然有不合時宜的法律制度與缺乏退出機制的缺失。首先本論文利用清科創投研究中心所發布的實際統計數據，以掌握當前中國創投市場發展的現況，再搭配各著名的金融機構對中國經濟成長率所做的預測值、中國進出口貿易的統計數據以及外商直接投資實際金額，藉由實際的經濟數據，預估中國創投產業未來的發展潛力。第二部分即是創投相關法律的分析，由於金融產業受到的管制相當的嚴格，相較之下，當外資創投機構在中國投資時，法律所扮演的角色就顯得相當的重要。在本研究中探討了2003年頒布的外商投資創業投資企業管理規定、最新修訂的公司法以及2006年3月開始實行的創業投資企業管理暫行辦法，分析創投相關法律是否有持續的放寬投資限制與進步。第三部分即分析在中國市場中創投產業經營的障礙，包括必須克服投資風險偏高、官員貪污問題嚴重以及中國主版市場流通性仍然不足，致使創投資金無法在中國市場直接完成退出等問題。最後綜合此三部分，進而歸納出創投事業在中國的機會與挑戰。關鍵字：創業投資、中國大陸、風險投資、風投、創投 Abstract: Because the development of Chinese economy grows very fast， every country in the world starts to pay attention to Chinese market. In 2005， Chinese GDP has become top 4 all over the world. The time is short for China to open its economic market， so it leads to Chinese venture capital laws which are out of date and short of venture capital exit ways. At first， this thesis used the data from Zero2IPO company to describe the status of Chinese venture capital now. Then I used the data of Chinese economic growth percentage which were provided by famous financial enterprises、Chinese trade amount of import and export and FDI amount to predict Chinese venture capital development in the future. Second is the analysis of venture capital laws. Due to financial industry is controlled seriously， it stands to reason that laws will play an important role when venture capital companies operate in China. In this thesis researches three laws which have a lot to do with the development of venture capital. In order to understand if China loosed the limit of venture capital or not.Third is the analysis of operation obstacles of venture capital companies in China. For example： higher investment risk，the Chinese official corruption and can not footloose trade in Chinese stock market. In the end， according to above three sections we can deduce the challenges and opportunities of venture capital in China.
