    Title: 銀行風險承擔與公司治理關聯度之研究

    Abstract: 本研究以2002年至2005年台灣銀行業與金控公司為研究對象,設計許多可代表公司治理機制之相關變數,探討銀行風險與公司治理是否具關聯性,欲深入探討他們之間的關係,本篇文章主要以BaselⅡ所提及的信用風險、市場風險與作業風險作為三大風險構面且加入總風險,運用迴歸分析法探究其與公司治理變數之關聯度。
    實證結果發現,本研究樣本之管理者專業程度多集中於法、商背景,缺乏差異性亦可能為導致風險增加的原因。此外發現能透過對於員工的訓練、員工素質的提升有效降低銀行作業風險,當國外所有權增加至某一水準之上,將使風險下降。對於獨立董監事比率、董事會規模、董監事股權值押比率皆發現與銀行風險有正向關係,在資訊揭露方面,發現風險資訊揭露的品質與風險呈現顯著正相關,結果顯示公司有高風險水準將揭露較高風險訊息的數量,這可能是當公司有較高風險水準時,管理者有較高需求去解釋這高風險的原因,因此透露較詳細的風險訊息。
    This research accuses of the company as the research object with Taiwan banking industry and financial holding companies, designing a lot of relevant parameters that want to thoroughly investigate the relation between the corporate governance and banking risk. The article constructs the surface as total risk and three major risks with credit risks, market risk and operational risk that Basel Ⅱmention mainly, probe into it and manage the relation between parameters with the corporate governance mechanism.
    The empirical result presents that managers’ antecedents concentrate much to the law, business background. It is also a reason that lacking the difference increases risks. It also presents that training and high quality employees can reduce the operational risk of the bank effectively. Relating to ownership structure, the company with higher foreign ownership rate will impel the bank to take lower risk. Beside, the result presents that the larger the proportion of outsiders on the board causes banks take more credit risk and total risk. It is a positive association exits between board size and market risk. Companies which stock pledging of the directors of the board and supervisors is high undertake higher credit risks. Relating to information disclosures, it is a positive association exits between risk disclosures and risk. The company had high risk levels to reveal higher risk information, when managers want to explain these risky reasons than high demand to have, so revealed more detailed risk information.
