    Abstract: 兩岸在21世紀都加入了WTO,企業的經營愈來愈困難,不但要面對國內競爭者的挑戰,還要迎戰外國企業,壯大自己的實力已經迫不及待,因此,併購成為重要的選擇工具,可以利用併購來獲得跳躍式的成長、提升競爭力、取得專利與技術。
    目前全球貿易和投資已朝向自由化發展,各國政經體制改革加快,投資環境改善,以及跨國企業經營策略的調整,全球跨國併購在數目和交易規模上將繼續保持高速成長,因而讓兩岸企業面臨了更巨大的壓力,兩岸企業因而加速求新求變。因此,如何讓企業資源作最有效整合與運用,並且在這標榜知識經濟、無國界競爭的全球化時代,降低成本、提高競爭力並獲得最大利益,已成為企業經營的重要目標,所以企業大型化與國際化乃成為併購考量的要重要因素,也是進行產業結構轉型的重要手段。
    明基在併購西門子之前,只是一家區域型企業,以代工為主,在併購西門子之後,市佔率與營業額迅速成長,成為一家國際企業。聯想在併購IBM之前,也只是在中國稱霸,在併購IBM之後,馬上成為全球PC市佔率第三名。我們可從這兩個案例之中看出,明基與聯想都是在經營上遇到了瓶頸,企業成長受限,跨國併購乃其解決方法之一,可以讓市佔率與營業額迅速擴大。
    面對日益激烈的全球競爭,兩岸企業要維持競爭力優勢,提升製造部門的技術水準,積極朝知識經濟體系邁進,尤其是加強創新與創意,才能深化產業基礎,發展新的優勢產業,擺脫微利的困境加速向微笑曲線兩側研發創新與運籌物流的高附加價值階段發展。
    Both Taiwna and China all joined WTO in the 21st century, enterprise''s management have been increasingly difficult, not only had to face the domestic competitor''s challenge, but also had to meet head-on the foreign enterprise, expanded own strength already to be impatient. Therefore, the cross-border merger and acquisition became the important tool for choice, might obtain the dramatic growth, the promotion competitive power and the patent and technology by using the cross-border merger and acquisition.

    At present the global trade and the investment has faced the liberalized development, various state policies speed up after the organizational reform, the investment environment improvement, as well as the transnational enterprise will manage the strategy the adjustment, the cross-border merger and acquisition in the number and the transaction scale to maintain the high speed growth, thus let cross-strait enterprises face a huger pressure, thus cross-strait enterprises the acceleration asked to strive for to change newly. Therefore, how lets the enterprise resources make the most effective conformity and the utilization, and in this flaunted knowledge economy, the non-national boundary competition globalization period, reduces the cost, enhances the competitive power and obtains the biggest benefit, has become the profitable target which the enterprise manages, therefore the enterprise large scale and the internationalization are become the merger and acquisition consideration to want the important attribute, also is carries on industrial structure reforming the important method.

    BenQ in front of merger and acquisition Simens, is only a region enterprise, by generation of labor primarily, after merger and acquisition Simens, the city occupies rate and the turnover rapid growth, becomes an international enterprise. Lenovo in front of merger and acquisition IBM, also only is dominates in China, after merger and acquisition IBM, becomes the global PC city to occupy rate third immediately. We may see from these two cases, BenQ and the Lenovo all was meets the bottleneck in the management, the enterprise growth has received limits, the cross-border merger and acquisition was one of its solutions, might let the city occupy rate and the turnover rapid expansion.

    Facing the intense global competition, both banks enterprise needs to maintain the competitive power superiority day by day, the promotion branch of manufacture''s technical standards, makes great strides forward positively towards the knowledge economy system, strengthens the innovation and the creativity in particular, can deepen the industrial foundation, develops the new superiority industry, gets rid of the meager profit the difficult position acceleration to innovate to the smile curve both sides research and development and to operate the physical distribution high additional value stage development.
