    Abstract: 在證券投資信託之法律關係中,規範受託人行為及達成信託目的之關鍵,就是「忠實義務」,而忠實義務的規範內容,即為在投資人充分授權之後,如何確定投信事業與保管機構依信託本旨行使職權,其主要內涵可歸納出自己處理原則、以受益人利益為主等兩項特性。本文以忠實義務之特性及原則說明其實質內涵,以明忠實義務法制規範有不完全之處,提出修正之建議。其次,釐清利益衝突之相類概念及其關聯性,作為研究證券投資信託事業利益衝突之基礎,並介紹現行信託法及證券投資信託法制對於證券投資事業利益衝突法律效果,且說明實務上之「群益投信事件」,以檢討現行規範並提出具體建議。
