    Abstract: 本研究以 2006 年至 2015 年台灣上市櫃公司為樣本,探討公司治理與國際化程度對經理人薪酬之影響。實證結果發現,獨立董事比例及董事會規模與經理人的薪酬呈顯著正相關,總經理兼任董事長及董事持股比率與經理人的薪酬呈顯著負相關。外銷比率與外資持股比率與經理人的薪酬呈顯著正相關。本研究結果說明公司治理結構影響經理人薪酬設計,而國際化提升經營環境的複雜程度,須給予經理人較高的薪酬補償。
