    Abstract: 企業併購是企業實現快速發展、開展全球化經營的主要手段，也是獲取其他企業技術、市場等資源的重要戰略工具。通過海外併購，中國企業可以快速擴大規模，優化資源配置，推動技術創新和制度創新，同時可以更有效率的參與國際競爭合作，熟悉國際市場運作規律，增強在國際市場的競爭力。本文針對中國企業海外併購所遇到挑戰與風險進行深入探討，也詳細分析區位與行業別之間的關係與優勢。特別針對戰略選擇中的區位與行業別進行探討，並對開發中與已開發國家戰略選擇因素與挑戰加以分析，進而提出相關的建議策略與因應對策。
    M&A is the rapid development of enterprises, to carry out the primary means of business globalization, but also an important strategic tool for other companies to obtain technical, marketing and other resources. Overseas acquisitions by Chinese companies to quickly expand the scale and optimize the allocation of resources, promoting technological and institutional innovation, and can participate in international competition and cooperation more efficient operation of the law are familiar with international markets, to enhance competitiveness in the international market. In this paper, the Chinese enterprises overseas M & A challenges and risks encountered in depth, but also a detailed analysis of the relationship between regional and industry and other advantages. Especially for strategic choice of regional and industry respectively discuss, and developing and has been developed national strategy selection factors and challenges to be analyzed, and then make recommendations and corresponding strategies countermeasures.
