    Abstract: 中共國企改革經歷了三十多年的歷程,其中包括了「放權讓利」、「利改稅」、「承包制」和「現代企業化」。但是國有企業的弊端仍然沒有得到真正的解決,本論文試圖用新制度主義的觀點,從「交易成本」與「制度變遷理論」的角度分析過往以及現今的國有企業改革政策,包含了最近期的「混合所有制」與國有企業最近相當熱門的「海外直接投資」,了解一系列改革的邏輯並探討其成效。
    PRC’s State-Owned Enterprises Reforms has been more than 30 years and several phases in the reforming history include “ Devolution of power”、” Profit delivery”、“Contracting system” and “ Modern Enterprise System”, but there is no real solution to the SOE drawbacks.

    This paper will use the “Transaction costs” and “ Institutional Change Theory” form New Institutionalism to analysis the PRC’s SOE Reforms from the beginning to the resents, including the “ Mixed Ownership” and “ Foreign Direct Investment, FDI” that very popular to SOEs in recent years, to know about the PRC’s logic in reform policies and discuss the effect of them.
